These Terms & Conditions (“Terms”) govern your use of the Peak Potential Solutions, LLC (“Company,” “we,” “us”) website, booking system, and all related coaching, consulting, and project management services.  By accessing our website, engaging in services, or submitting a booking or agreement, you agree to these Terms.

Peak Potential Solutions, LLC provides professional coaching, leadership development, consulting, project management, and training services to individuals and organizations.

Our offerings include but are not limited to:

• Executive, leadership, and personal development coaching.
• Business and organizational consulting, including PMO development, fractional project leadership, and process improvement.
• Project management and implementation support for healthcare, technology, and operational initiatives.
• Training and facilitation for teams and leaders.

Each engagement is defined by a written proposal, contract, or statement of work that outlines scope, timeline, and deliverables.

Coaching and consulting services are distinct in purpose and method:

• Coaching focuses on personal awareness, performance, and leadership growth.
• Consulting and project management involve providing expertise, strategic guidance, recommendations, and hands-on implementation support.

Coaching is not therapy, counseling, or medical advice. Consulting services do not guarantee specific business outcomes, as results depend on client participation, internal resources, and external factors.

• Services are scheduled in advance and conducted through agreed platforms (Zoom®, Teams®, phone, or in person).
• Clients are expected to arrive on time and be prepared for scheduled sessions or meetings.
• Cancellations or reschedules require at least 24 hours’ notice.
• Late or missed sessions will be considered completed and are non-refundable unless otherwise agreed in writing.
• For consulting engagements, scheduling flexibility will be handled per the project plan or statement of work.

• Fees are outlined in the coaching agreement, proposal, or contract.
• Invoices are issued electronically via secure platforms (e.g., GoDaddy Payments or Microsoft 365 invoicing).
• Payment is due as specified in the contract—typically before the start of coaching or upon receipt for consulting deliverables.
• Late payments may delay work or result in suspension of services.
• Travel or project-related expenses, if applicable, will be pre-approved by the client and invoiced separately.

Either party may terminate the engagement at any time with written notice.

• For coaching, prepaid unused sessions may be refunded at the coach’s discretion.
• For consulting or project management, refunds are limited to unperformed work; completed deliverables and time incurred remain billable.
• Termination of multi-month or fixed-fee contracts will include a prorated invoice for services rendered through the termination date.

We maintain strict confidentiality in all client interactions and engagements.

Information shared in coaching or consulting sessions will not be disclosed without client consent, except where required by law or ethical obligation (e.g., risk of harm, legal compliance, or ICF credentialing audit).  Company materials or discussions may be anonymized or summarized to demonstrate outcomes or industry expertise but will never include client-identifiable details.

All materials, templates, frameworks, and content provided by Peak Potential Solutions, LLC remain the property of the Company.  Clients receive a non-exclusive license to use deliverables internally for business purposes only.  Reproduction, resale, or distribution of materials without written permission is prohibited.

Clients agree to:

• Provide timely and accurate information necessary for the success of the engagement.
• Make key personnel available for meetings or approvals as needed.
• Actively participate in coaching or project initiatives to achieve desired outcomes.

The Company is not responsible for project delays or incomplete outcomes caused by lack of client participation or unforeseen organizational changes.

Peak Potential Solutions, LLC will perform services with professional care and diligence.

However, results depend on numerous factors beyond our control. Accordingly:

• We make no warranties, express or implied, regarding specific outcomes or financial results.
• Our total liability under any agreement shall not exceed the total amount paid for services rendered.
• We are not liable for indirect, incidental, or consequential damages arising from service use or reliance.

These Terms and any related contracts are governed by and construed under the laws of the Commonwealth of Virginia, USA.

In the event of a dispute, both parties agree to seek good-faith resolution through discussion or mediation before pursuing legal action.

We may update these Terms periodically to reflect operational, legal, or regulatory changes.

The most current version will always be available on our website.
